Terms of service
These terms govern your use of ChatRail, including the website, the dashboard, the API and any paid plan. By creating a workspace or paying for a plan you agree to them. Please read the section on WhatsApp carefully — it describes a risk that is real, that we cannot remove, and that you carry.
Who these terms are with
ChatRail is operated by Cortex Software Services Ltd (“we”, “us”). You can reach us at support@chatrail.dev, which is also where any notice under these terms should be sent.
What ChatRail is
ChatRail sends, schedules and receives WhatsApp messages on behalf of a number you control, and optionally drafts replies using an AI model you configure. It connects to WhatsApp through the Linked Devices mechanism — the same feature that lets you use WhatsApp on a laptop. It is not the WhatsApp Business Platform, it is not the Cloud API, and it does not involve Meta business verification.
We say this plainly because it determines what you are agreeing to. A linked device is a device on your account. ChatRail acts as one; it does not become a party to your relationship with WhatsApp.
Your account and workspace
You must be able to form a contract, and you must give an email address you control — sign-in is a one-time code sent to it, so access to that inbox is access to the workspace. Keep it secure. You are responsible for everything done through your workspace, including by people you invite and by API keys you issue.
You must own, or be authorised to use, every WhatsApp number you connect. Connecting a number you do not control is a breach of these terms and, in most places, of the law.
Plans, payment and renewal
Paid plans are billed monthly in advance at the price shown on the pricing page when you subscribe. A subscription renews automatically each month until cancelled. Cancel at any time; the plan stays active until the end of the period you have paid for.
Payments are processed by a third-party payment provider that acts as merchant of record. That provider is the seller for the transaction, issues your receipt, and is responsible for collecting and remitting any applicable sales tax or VAT. Its terms apply to the payment itself alongside these terms.
Refunds are covered by our refund policy, which forms part of these terms.
We may change prices. An increase will not affect a period you have already paid for, and we will tell you before it applies to a renewal, so you can cancel first.
Plan limits
Each plan includes a number of connected numbers, a monthly message allowance and a message-history retention period. When you reach a limit, the action is refused with a message naming the plan that allows it — we do not silently bill you for going over. Moving to a smaller plan is refused while you have more numbers connected than the smaller plan includes; disconnect them first, so you decide which ones stop.
Your responsibilities when messaging
You decide who is messaged and what is said. You are responsible for:
- having a lawful basis and any required consent to message each recipient;
- honouring opt-outs promptly;
- the content of every message, including anything generated by an AI model you configure;
- complying with WhatsApp’s terms and policies, and with the law that applies to you and your recipients — including rules on unsolicited messaging, which are strict in many countries.
Our acceptable use policy lists what may not be sent through ChatRail and forms part of these terms.
WhatsApp, Meta, and the risk to your number
ChatRail is not affiliated with, endorsed by, or connected to WhatsApp or Meta Platforms, Inc. WhatsApp is a trademark of Meta Platforms, Inc.
WhatsApp may restrict, suspend or permanently ban any number at its sole discretion. Automated or high-volume messaging increases that likelihood, and messaging people who did not ask to hear from you increases it sharply. This can happen without warning, without explanation and without appeal, and it can happen to a number that has been messaging normally for months.
We build guardrails — recipient-velocity limits and a daily ceiling that apply whatever your plan — because they reduce the risk. They cannot remove it. We are not liable for any action WhatsApp or Meta takes against your number or account, including loss of a number, of message history held by WhatsApp, or of business that depended on it. If keeping a particular number is critical to you, do not automate it without accepting that risk.
AI replies
AI is off by default and stays off until you add a model-provider credential and enable a policy for a specific connection. When enabled, message content and any context you attach are sent to the provider you chose, under that provider’s terms. You are responsible for what the model produces and for anything sent as a result. We do not warrant that a generated reply is accurate, appropriate or fit for any purpose.
Your data
How we handle personal data is described in our privacy policy. Message content is retained for the period your plan includes and is then deleted. You may delete a workspace at any time, which begins deletion of its data. Do not treat ChatRail as your system of record: keep your own copy of anything you need to retain.
Availability
We aim to keep ChatRail available and will tell you about planned maintenance where we reasonably can. We do not commit to a specific uptime percentage unless we have agreed one with you in writing. The service depends on WhatsApp, on your model provider if you use one, and on infrastructure providers — none of which we control.
Suspension and termination
You may stop using ChatRail at any time. We may suspend or terminate a workspace if payment fails and is not resolved, if these terms or the acceptable use policy are breached, or if continuing would expose us or other customers to legal or platform risk. Where circumstances allow we will warn you first and give you a chance to put it right; where the risk is immediate we may act first and explain afterwards.
If a payment fails, we keep your access while the payment provider retries. If it is not resolved by the end of that period, the workspace moves to the free Sandbox plan rather than being cut off — your numbers stay paired and your history is kept, subject to the Sandbox retention period.
Changes to the service
ChatRail is actively developed. We add and improve things, and occasionally remove them. If we withdraw a feature you rely on, or make a change that materially reduces what your plan includes, we will tell you in advance and you may cancel and receive a refund of the unused part of the period you have paid for.
Warranties
To the fullest extent permitted by law, ChatRail is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. Nothing in these terms excludes any warranty or right that cannot lawfully be excluded, and if you are a consumer your statutory rights are unaffected.
Limitation of liability
To the fullest extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data, however caused.
Our total aggregate liability arising out of or relating to these terms or your use of ChatRail is limited to the amount you paid us in the twelve months before the event giving rise to the claim. Where you are on a free plan and have paid us nothing, our aggregate liability is limited to USD 100.
Neither of us excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.
Indemnity
You will indemnify us against claims, losses and reasonable costs arising from the messages you send through ChatRail, from your breach of these terms or the acceptable use policy, and from your use of a number you were not authorised to use.
Governing law
These terms are governed by the laws of the Islamic Republic of Pakistan, and the courts of Pakistan have exclusive jurisdiction over any dispute arising from them. If you are a consumer, this does not deprive you of the protection of the mandatory laws of the country where you live.
General
If any part of these terms is found unenforceable, the rest continues to apply. A delay in enforcing a term is not a waiver of it. You may not transfer your rights under these terms without our consent; we may transfer ours as part of a sale or reorganisation of our business. These terms, together with the privacy policy, the refund policy and the acceptable use policy, are the whole agreement between us about ChatRail.
Changes to these terms
We may update these terms as the product develops. For a material change affecting a paid plan, we will give you notice before it takes effect, and continuing to use ChatRail afterwards means you accept the updated terms. The date at the top shows the latest revision.
